Terms of Service

1. Acceptance of Terms

By accessing or using Innovativa ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Innovativa reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

2. Description of Service

Innovativa is a dropshipping management platform that provides:

• Integration with Shopify stores for analytics and reporting
• Profit tracking and cost of goods sold (COGS) management
• Supplier sourcing and quote management
• Order and fulfillment monitoring
• Business intelligence dashboards

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any information that becomes inaccurate
• Accept responsibility for all activities under your account

You must be at least 18 years old to create an account and use the Service.

4. Shopify Integration

When you connect your Shopify store to Innovativa:

• You authorize us to access your store data through Shopify's API
• You confirm you have the authority to grant this access
• You understand we access data in read-only mode
• You can revoke access at any time by uninstalling the app from Shopify

We are not responsible for any issues arising from Shopify's platform, API limitations, or service interruptions.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Transmit viruses or malicious code
• Resell or redistribute the Service without authorization
• Use the Service to infringe on others' intellectual property rights
• Scrape or harvest data from the Service

6. Prohibited Technical Conduct

In addition to the general restrictions in Section 5, you expressly agree NOT to:

• Attempt to access, query, read, or manipulate any database, data store, or backend system beyond what is explicitly made available through the Innovativa user interface
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code, architecture, or internal logic of the platform
• Exploit, probe, or test for vulnerabilities in any part of the platform, its APIs, authentication systems, or infrastructure
• Intercept, monitor, or tamper with network traffic between your device and Innovativa's servers
• Attempt to bypass, circumvent, or disable any access control, authentication mechanism, row-level security policy, or permission boundary
• Access data, records, or functionality belonging to other users or accounts for which you have not been explicitly granted access
• Use automated tools, bots, scripts, or crawlers to extract data beyond what is accessible through normal use of the Service
• Attempt to elevate your privilege level beyond what has been assigned to your account role

Violation of any of the above constitutes a material breach of these Terms and will result in immediate account termination without refund. In addition, you agree to pay liquidated damages of $25,000 USD per incident, which the parties acknowledge represents a reasonable estimate of the minimum harm caused to Innovativa, including security audit costs, reputational damage, legal expenses, and remediation costs. This amount is in addition to, and not in lieu of, any other legal remedies Innovativa may pursue.

Such conduct may also expose you to criminal and civil liability under applicable law, including but not limited to:

• United States: The Computer Fraud and Abuse Act (CFAA, 18 U.S.C. § 1030), the Electronic Communications Privacy Act (ECPA), and applicable state computer crime statutes
• Switzerland: The Swiss Federal Act on Data Protection (nDSG/FADP) and Article 143 of the Swiss Criminal Code (unauthorised access to data processing systems)
• European Union: The EU Directive on Attacks Against Information Systems (2013/40/EU) and the General Data Protection Regulation (GDPR)

Innovativa reserves the right to pursue all available legal remedies, including injunctive relief and damages, against any individual or entity that violates these provisions.

7. Intellectual Property

The Service, including its design, features, and content, is owned by Innovativa and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

Your data remains your property. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

8. Payment Terms

Certain features of the Service may require payment. If you subscribe to a paid plan:

• Fees are billed in advance on a recurring basis
• You authorize us to charge your payment method
• Prices may change with 30 days' notice
• Refunds are provided in accordance with our refund policy

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNOVATIVA SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use of third-party services
• Any amount exceeding the fees you paid to us in the past 12 months

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Indemnification

You agree to indemnify and hold harmless Innovativa and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service if:

• You violate these Terms
• You fail to pay applicable fees
• Your use poses a security risk
• We are required to do so by law

Upon termination, your right to use the Service will cease immediately. Data deletion will occur in accordance with our Privacy Policy.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Switzerland. Any disputes arising from these Terms shall be resolved in the courts of Switzerland.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
